
Instruct Me - Terms and Conditions for Learner Drivers
Effective Date: 13th of May, 2026
1. Preamble
Instruct Me Limited, trading as “Instruct Me”, a company incorporated in England and Wales with company number 16480772, with registered company address 8 Exchange Quay, Manchester, M5 3EJ, operates a platform connecting learner drivers (“Students” or “Customers”) with DVSA-registered driving Instructors via www.instructme.co.uk and associated mobile apps (the “Platform”).
Instruct Me Limited is a wholly owned subsidiary of CAPSIL Ltd (Company No. 15109414).
By accessing or using the Platform to search, book, pay for or manage driving lessons, you agree to be bound by these Terms and Conditions (“Terms”). If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Agreement, in which case “you” or “your” shall refer to such entity and its affiliates. If you do not have such authority or if you do not agree with this Agreement, then you are not authorised to use the Services.
2. Definitions
- Student / Customer / User: A person who uses the Platform to find, book, pay for, or manage driving lessons for a learner driver with an Instructor.
- Instructor: A DVSA-registered Approved Driving Instructor (ADI) who is duly licensed, certified, and qualified to provide professional instruction and guidance for individuals learning to operate motor vehicles and has successfully completed the Instruct Me onboarding process.
- DVSA: The Driver and Vehicle Standards Agency, a UK government agency responsible for setting and enforcing driving and vehicle standards, including the registration and regulation of driving instructors.
- Platform: The website (including www.instructme.co.uk) and mobile apps operated by Instruct Me to facilitate driving lesson bookings.
- Lesson: A scheduled driving instruction session booked through the Platform between a Student and an Instructor.
- We / Us / Our / Instruct Me: Instruct Me Limited, a company incorporated in England and Wales (company number 16480772), which is a wholly owned subsidiary of CAPSIL Ltd (company number 15109414).
- You / Your: Refers to the individual using the Platform, whether as a Student or otherwise, including any person acting on behalf of a legal entity, who accepts these Terms and uses the services provided through the Platform.
- Terms: Refers to these Terms and Conditions governing your use of the Platform, including any updates, modifications, or supplemental agreements.
- Working Days: Monday to Friday, excluding Saturdays, Sundays, and official public holidays in England and Wales.
- UK GDPR: The General Data Protection Regulation specific to the United Kingdom, which governs the protection and processing of personal data.
- Force majeure Events: We shall not be held liable or considered in breach of our obligations under these Terms and Conditions due to any failure to perform or delay in performance caused by events beyond our reasonable control, referred to as "Force Majeure Events."
- Intellectual Property Rights: Legal rights associated with intellectual creations, including patents, copyrights, trademarks, trade secrets, and any other proprietary rights.
- Virus: Malicious software or code designed to disrupt, damage, or compromise the security of computer systems, including mobile devices.
- Platform Content: All materials and content available through the Platform, including but not limited to text graphics, logos, images, videos, audio, documents, lesson plans, worksheets, reviews, curricula, branding elements, and any other intellectual property created by or on behalf of Us.
- Service Fee(s): The fee(s) charged by Us for access to and use of the Platform and related services, displayed to you at checkout prior to booking confirmation.
- As Is / As Available: Terms indicating that the services are provided without any warranties or guarantees, including about availability, fitness for purpose, or freedom from defects or errors. These terms mean the Platform may be subject to errors, downtime, or limitations beyond our control.
3. Eligibility
3.1. General Requirements To use the Platform as a Student, you must:
- Be legally allowed to participate in driving instruction where any lessons take place
- Provide accurate and truthful personal information during registration and use of the Platform
3.2. Age and Licensing You confirm that you meet the minimum age requirements and hold any necessary learner permits or licenses required by local or national laws to take driving lessons.
3.3. Account Verification You agree to provide any documents or information requested by Instruct Me to verify your identity and eligibility to book and participate in lessons through the Platform.
3.4. Compliance with Laws You must comply with all local and national laws related to driving instruction and learner eligibility.
3.5. Conduct and Responsibility You acknowledge that you are responsible for attending lessons as booked and providing timely, accurate information about your learning status to your Instructor and the Platform.
3.6. Provisional Driving Licence
Students must hold a valid UK provisional driving licence (or other legally recognised learner permit where applicable) in order to participate in driving lessons.
Students may be required to upload a copy of their provisional licence to the Platform for verification prior to booking or attending Lessons.
Where a Student fails to provide a valid licence, or where a licence is expired, rejected, or deemed invalid:
- an Instructor may refuse to conduct the Lesson; and
- the Lesson may be treated as a late cancellation.
In such circumstances, the Lesson credit may be forfeited in accordance with the Platform cancellation rules.
4. Access Rights, User Responsibilities, and Restrictions
4.1 Access Rights
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable right to use the Platform during the term of this agreement solely for your own personal use in booking and taking lessons. This right does not include sublicensing, reselling or commercial use beyond your authorised activities.
4.2 User Responsibilities You shall not access, store, distribute, or transmit any material on the Platform that:
- (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, or racially or ethnically offensive;
- (b) facilitates illegal activity;
- (c) depicts sexually explicit content;
- (d) promotes unlawful violence;
- (e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, or disability; or
- (f) is otherwise illegal or causes damage or injury to any person or property.
- (g) brings Instruct Me or its related companies into disrepute through offensive, misleading, or defamatory conduct on or related to the Platform
4.3 User Restrictions You shall not:
- (a) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any part of the Platform’s software or content except as expressly permitted;
- (b) attempt to decompile, reverse engineer, or reduce any part of the Platform to human-perceivable form;
- (c) use the Platform to build a competing product or service;
- (d) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or commercially exploit the Platform or make it available to any third party except as permitted;
- (e) assist others in obtaining unauthorised access to the Platform; or
- (f) introduce viruses or vulnerabilities into the Platform network.
4.4 Unauthorised Access You shall use all reasonable efforts to prevent unauthorised access to or use of the Platform and promptly notify Us if you become aware of any such unauthorised access or use.
5. Using the Platform and Booking Lessons
5.1 Searching and Booking You may search for Instructors, view their profiles and availability, and book and pay for driving lessons through the Platform.
Instruct Me does not guarantee Instructor availability, lesson frequency, or continuity of any specific Instructor.
Instruct Me does not guarantee the quality, suitability, or outcomes of lessons, and you are responsible for selecting an Instructor based on their own preferences.
5.2 Payment
All lesson bookings and payments must be made through the Platform’s secure payment system at the time of booking.
The price displayed for lessons constitutes the total price payable by the Student and is presented on an all-inclusive basis. This total price includes
(i) the Instructor’s fee for providing their tuition services and
(ii) Our service fee for access to and use of the Platform and related services. No additional mandatory fees will be added at checkout.
Where applicable, a breakdown of the total price may be provided at checkout, within the Student’s account, or in the booking confirmation for transparency purposes only. Such breakdown does not alter the total price payable.
Instruct Me acts as merchant of record and as a limited payment collection agent on behalf of the Instructor for the purpose of collecting and processing payments. Payment of the total price by the Student to Instruct Me shall satisfy the Student’s payment obligation to the Instructor.
By completing a booking, the Student irrevocably authorises Instruct Me to collect, hold and transfer funds to the Instructor in accordance with these Terms and acknowledges that the total price displayed includes all mandatory fees payable in connection with the booking.
Prices displayed include VAT where applicable. The application and calculation of VAT depends on the Instructor’s individual tax status. Instruct Me does not provide tax advice and accepts no liability for any incorrect VAT treatment applied by an Instructor.
5.3 Binding Agreement
By accessing or using the Platform, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and Instruct Me
5.4 Role of Instruct Me Instruct Me facilitates the booking and management of driving instruction but does not employ or supervise Instructors. Instruct Me is not a party to any contract for driving instruction services between Students and Instructors. We do not supervise, direct, or control Instructors or guarantee any outcomes or qualifications. Your engagement with an Instructor is at your own risk.
Instructors operate as independent professionals and are solely responsible for the delivery of driving instruction, including compliance with all legal, regulatory, licensing, and insurance requirements.
Instruct Me’s protections, policies, and dispute resolution processes apply only to Lessons booked and paid for through the Platform.
You acknowledge that you have not relied on any representation, statement, or promise not expressly set out in these Terms.
- 5.5 Platform Discretion
Instruct Me reserves the right, acting reasonably and in accordance with applicable law, to suspend, restrict, modify or reverse any booking, payment, account, or Platform activity where necessary to:
(a) protect the integrity or security of the Platform;
(b) prevent fraud, abuse or circumvention;
(c) comply with legal, regulatory or payment provider obligations; or
(d) mitigate risk to Instruct Me, its users, or third parties.
- Nothing in this clause affects your statutory rights under applicable UK consumer protection law.
Instruct Me shall not be liable for any loss, damage, cost, or inconvenience arising from the exercise of such discretion, save where liability cannot lawfully be excluded.
5.6 Lesson Completion Timeframe
All purchased lesson hours must be used within 360 calendar days from the date of purchase. Any unused hours after this period may expire and may not be refunded, unless otherwise required under applicable consumer protection law. Students are encouraged to schedule their lessons in advance to avoid loss of credit due to inactivity.
5.7 Lawful Use You agree to use the Platform only for lawful purposes and in compliance with these Terms.
5.8 Platform Rules and System Logic Certain features of the Platform, including booking flows, rescheduling, cancellation timing, lesson status changes, and credit handling, are governed by system rules and workflows displayed within the Platform at the time of use.
You acknowledge that these system rules form part of your agreement with Instruct Me and may determine outcomes such as Lesson status, payment allocation, or credit returns.
The Platform’s displayed workflows and operational rules form part of these Terms and shall be applied in conjunction with them, to the extent permitted by applicable law.
5.9 Platform Communications
Notifications, updates, and communications provided through the Platform (including emails, in-app messages, SMS where applicable, and notifications) form part of your agreement with Instruct Me.
You agree that such communications may include important information relating to bookings, cancellations, Instructor status, payments, account activity, and changes to Platform functionality or policies.
You are responsible for ensuring your contact details are accurate and for reviewing communications sent to you via the Platform.
5.10 Platform Monitoring and User Activity
Instruct Me may monitor, collect, and record information relating to your use of the Platform, including but not limited to booking activity, cancellations, rescheduling behaviour, lesson attendance, communications made through the Platform, and general account activity.
Such information may be used for purposes including: (a) operating, maintaining, and improving the Platform; (b) ensuring compliance with these Terms; (c) detecting and preventing fraud, misuse, or abuse of the Platform; (d) supporting customer support and dispute resolution processes; and (e) maintaining the safety, integrity, and quality of the Platform and its users.
You acknowledge that such monitoring and processing forms an integral part of the Platform’s operation and agree to such use of your data in accordance with these Terms and our Privacy Policy.
Such information may also be used to inform Platform functionality, user visibility, and overall user experience.
6. Payment Services & Regulatory Compliance
6.1 Use of Third-Party Payment Provider
We use Stripe, Inc. as our payment processing provider to facilitate secure payment processing on the Platform. By using the Platform, you agree to Stripe’s applicable Services Agreement and Privacy Policy. You agree to the terms and privacy policies of any third-party payment provider made available to you at checkout.
6.2 Limited Payment Collection Agent (LPCA)
For the purposes of facilitating transactions on the Platform, Instruct Me acts as the Instructor’s limited payment collection agent. Payment by a Student to Instruct Me shall be deemed payment directly to the relevant Instructor, subject always to these Terms.
Instruct Me’s role is strictly limited to collecting and disbursing payments in accordance with Platform rules and applicable law. Instruct Me does not provide driving instruction services, does not guarantee lesson performance, and assumes no responsibility for the acts or omissions of Instructors.
Students acknowledge that Instruct Me’s designation as Merchant of Record does not create any warranty, assumption of liability, or responsibility for the delivery, quality, or outcome of driving lessons.
6.3 Payment Authorisation
You authorise Instruct Me to charge your selected payment method for services booked on the platform.
6.4 Pricing & Admin Fees
All fees, including the Service Fee and any other applicable charges permitted under these Terms (such as rescheduling fees), will be clearly displayed prior to booking confirmation. By using the Platform, you acknowledge and agree to pay all applicable charges.
6.4.1 Service Fees
In addition to the Instructor’s lesson fee, Instruct Me charges a separate Service Fee for access to and use of the Platform, including administrative services, payment processing, customer support, dispute handling, and Instructor matching.
The Service Fee is charged per Instructor-Student transaction and is itemised at checkout prior to booking confirmation.
Where a booking or payment is partially funded using existing Lesson credit, the Service Fee shall apply only to the portion of the transaction paid using new funds at checkout and shall not apply to any amount covered by previously purchased Lesson credit.
The Service Fee is payable in full and non-refundable immediately upon the redemption of the first Lesson, whether such Lesson is attended in full, attended in part, forfeited, marked as completed due to a no-show, or otherwise deemed delivered in accordance with these Terms.
Where no Lessons have been redeemed, a refund of the relevant Service Fee may be offered at Instruct Me’s sole discretion and in accordance with Section 7.7.
For the purposes of these Terms, a Lesson is considered “redeemed” once it has commenced, been marked as completed, or been forfeited due to late cancellation, no-show, or other circumstances in which the Lesson is treated as delivered under these Terms.
6.5 Identity Verification
To comply with PSD3, anti-money laundering (AML), and know your customer (KYC) requirements, we may request additional identification and supporting documents. Failure to provide accurate or complete information may result in delays, restricted access, or account suspension.
6.6 Dispute Resolution
If you have a dispute regarding payments, bookings, or lesson delivery, please contact us first. Disputes related to payment methods may also be subject to Stripe’s resolution process. We aim to resolve issues promptly and in compliance with applicable regulations.
6.7 Payment Handling for Scheduled and Unscheduled Lessons
6.7.1 Lesson Payments
When you pay for one or more lessons, the payment is collected immediately by Instruct Me. However:
- For scheduled lessons, funds are held securely and only released to the Instructor after the lesson is completed.
- For unscheduled lessons, funds are retained as a lesson balance for future bookings unless a refund is requested in accordance with Section 7 and applicable statutory consumer rights.
6.7.2 Lesson Balance
Your lesson balance refers to the portion of paid funds that has not yet been allocated to a scheduled lesson. This balance:
- Can only be used to book driving lessons through our platform.
- Is not interest-bearing, transferable, or redeemable for general-purpose use.
- Remains available to you unless used or refunded in accordance with our terms.
Any refund of a lesson balance will be issued to the original payment method only and strictly in accordance with Section 7 and applicable statutory consumer rights.
6.7.3 Instructor Payouts
We release payment to Instructors only after:
- The lesson has been completed and marked as completed in accordance with the Platform, or in other circumstances where, acting reasonably and in accordance with these Terms and Platform rules, Instruct Me determines that the Instructor is entitled to payment.
6.7.4 Refunds & Cancellations
Refunds and cancellations are governed by Section 7 of these Terms. Late cancellations or no-shows will result in the forfeiture of the fee for the affected scheduled Lesson, as detailed in our platform policy. Administrative fees may apply where expressly stated in these Terms or at checkout.
6.7.5 Identity & Compliance
We may request identity verification before processing refunds or high-value bookings. This ensures compliance with financial, fraud-prevention, and consumer protection regulations.
6.8 Data & Record Keeping
We collect and retain payment and transaction data for regulatory and operational reasons, including audit trails, financial reporting, and dispute resolution. See our [Privacy Policy] for full details.
For the avoidance of doubt, Instruct Me does not hold customer funds as a bank or financial institution and does not provide any regulated financial services.
7. Cancellation and Refunds
7.1 Cancellation by Student
You may cancel any scheduled Lesson via the Platform without penalty if you provide at least forty-eight (48) hours’ notice prior to the scheduled start time. Your lesson balance will be updated accordingly with the unused lesson.
For the purposes of this Section, ‘lesson fee’ means the full price paid for the scheduled Lesson, excluding the Service Fee.
If you cancel with less than forty-eight (48) hours’ notice, the lesson booking will be deemed to have been utilised, marked as a too-late cancellation and you will not be entitled to a refund or lesson credit. In exceptional circumstances and at its sole discretion, Instruct Me may, upon request, provide a lesson credit or refund.
For the avoidance of doubt, a late cancellation applies only to the affected scheduled Lesson and does not automatically forfeit any unused Lesson balance, subject always to these Terms.
Where an Instructor refuses to conduct a Lesson due to the Student’s failure to meet legal or safety requirements (including but not limited to failure to provide a valid provisional licence), the Lesson may be treated as a late cancellation and no refund or credit will be due.
7.2 Rescheduling by Student
You may reschedule a Lesson through the Platform with a minimum of forty-eight (48) hours’ notice. The Instructor must confirm the reschedule request for the new time to be accepted.
Where you request to reschedule a Lesson with less than forty-eight (48) hours’ notice and the Instructor does not confirm the new lesson time before the original scheduled start time, you remain obliged to attend the Lesson at the original scheduled time.
If you choose not to attend at that time, the Lesson will be forfeited, no lesson credit will be due, and the Instructor shall be entitled to payment in full for the original scheduled Lesson.
For the avoidance of doubt, Instruct Me is not obliged to reinstate or reallocate any forfeited Lesson credit in these circumstances.
Where a reschedule request is submitted, the Lesson status may temporarily change to “Pending”.
The receiving party must respond to the reschedule request within the timeframe displayed on the Platform. If the request is not actioned within that timeframe, the Lesson request may expire automatically.
Where a Lesson request expires:
- the Lesson will be cancelled; and
- the applicable Lesson credit will be returned or forfeited depending on the timing of the request and the Platform rules in force at the time.
7.3 Instructor No-Show or Delay
If your Instructor fails to appear for a scheduled Lesson or is more than fifteen (15) minutes late without prior notice, you are entitled to one of the following remedies, subject to reporting the issue via the Platform within twenty-four (24) hours of the scheduled Lesson time:
- a full refund;
- a reschedule at no additional cost; or
- a replacement Instructor.
At the point of your Lesson commencing, you and your instructor should input the lesson confirmation code into the platform. If both you and your Instructor input the lesson confirmation code, the Lesson will be marked as completed and cannot be reversed. Where no confirmation code is entered and a dispute is raised, Instruct Me will review the matter and determine the Lesson status in accordance with Platform rules.
7.4 Refunds & Processing
Please allow 5-10 working days for refunds to appear on your original payment method.
Refunds may be requested for the following reasons:
- a change of mind prior to the redemption of any Lesson;
- substantiated issues relating to an Instructor’s conduct or professionalism;
- a decision not to continue a block booking after the first Lesson, subject always to the Service Fee provisions set out below.
All refund decisions made by Instruct Me are final and binding, subject only to your statutory consumer rights.
Refunds will only be issued to the original payment method used at the time of purchase unless otherwise required by law.
7.5 Service Fee Refund Policy
The Service Fee is charged for access to and use of the Platform, including administrative services, payment processing, customer support, dispute handling, and Instructor matching.
If you have not redeemed any Lessons, and upon receiving a request from you, the Service Fee will be refunded in accordance with applicable statutory consumer rights.
Once any Lesson has been redeemed, whether attended in full, attended in part, forfeited, or otherwise deemed delivered in accordance with these Terms, the entire service fee becomes payable in full and is non-refundable.
7.6 Lesson Credits and Changing Instructors
If you choose to change Instructors, any unused Lesson balance attributable solely to Instructor fees may be transferred and applied toward bookings with a new Instructor through the Platform.
The Service Fee previously paid shall remain retained by Instruct Me and shall not be transferable or reusable, including where a change of Instructor occurs because an Instructor declines a booking request or is otherwise unavailable to deliver the booked Lessons.
If the Instructor you choose to book with charges a higher lesson price than your previous Instructor, you will be required to pay the price difference. Any such additional payment will be issued as a separate invoice and credited to your Platform balance for use exclusively toward bookings with that Instructor. A new Service Fee will apply to any additional payments made, calculated in accordance with Section 6.4.1.
Lesson credits:
- have no cash value;
- are not transferable to third parties; and
- must be used exclusively through the Platform.
Instruct Me does not guarantee Instructor availability, pricing consistency, or lesson capacity when transferring Lesson credit.
For the avoidance of doubt, the Service Fee is due in full and non-refundable once the first Lesson is redeemed and shall not be transferable under any circumstances, in accordance with Section 7.5.
Where a Student initiates a transfer of Lesson credit to a new Instructor while having any pending or confirmed Lessons with their current Instructor, such Lessons may be automatically cancelled and handled in accordance with the applicable cancellation policy.
At any given time, Lesson credits may only be applied toward bookings with one Instructor.
Where such cancellation occurs within forty-eight (48) hours of the scheduled Lesson, the standard cancellation policy shall apply and the relevant Lesson credit may be forfeited.
Where a Student has purchased Lesson hours with an Instructor at a stated price, any unused Lesson hours will remain valid at the original agreed rate.
If the Instructor subsequently changes their pricing, such updated pricing shall apply only to new bookings made after the change and shall not affect previously purchased Lesson hours.
7.7 Discretionary Refunds
Any refund, partial refund, Service Fee refund, credit, or goodwill adjustment granted by Instruct Me outside of its legal obligations is provided entirely at Instruct Me’s sole discretion.
Such refunds are made on a case-by-case basis, without precedent, and shall not create any obligation for Instruct Me to provide similar refunds in the future.
For the avoidance of doubt, no user shall have any automatic entitlement to a refund of the Service Fee once paid, except where required by applicable law.
8. Student Responsibilities
Students agree to:
8.1 Provide accurate and current information when registering and maintain the accuracy of such information
8.2 Use the Platform in a respectful and lawful manner
8.3 Respect the intellectual property rights of Instructors and other users
8.4 Not engage in harassment, abusive behaviour, or discrimination in any interaction on the platform
8.5 Follow the instructions and guidelines given by Instructors or facilitators during any session or course
8.6 Notify Us of any inappropriate conduct or breach of these terms
8.7 Ensure all payments for services are completed according to payment terms
8.8 Attend lessons punctually and notify the Instructor in advance of any delays.
8.9 Follow the Instructor’s guidance and safety instructions during lessons.
8.10 Ensure you hold a valid provisional driving licence or other lawful permission required to participate in driving lessons and present such documentation to the Instructor where required by law.
8.11 Maintain respectful and professional communication with Instructors.
8.12 Not attempt to circumvent the Platform by soliciting Instructors outside the system
9. Professional Standards & Conduct
Instruct Me is committed to maintaining a positive, respectful, and safe environment for all users. As a Student/User of the Platform, you agree to uphold the following standards:
9.1 Expectation of Professionalism
You are expected to act with honesty, respect, and courtesy in all interactions on the Platform. Maintaining professionalism helps ensure a positive experience for everyone. Failure to adhere to these standards may result in account restrictions or removal from the Platform.
9.2 Prohibited Behaviour Any form of inappropriate or unethical behaviour will not be tolerated. This includes but is not limited to the following. Users agree to:
a. Conduct all sessions and interactions with integrity, professionalism, and respect;
b. Maintain clear, respectful, and professional boundaries with Instructors at all times, including refraining from any personal, romantic, financial, or otherwise non-instructional relationships that may compromise the safety, neutrality, or professionalism of the driving lesson experience;
c. Refrain from discriminatory, abusive, or otherwise inappropriate language or conduct;
d. Engage with the Platform and Instructors in a manner that aligns with the intended purpose of the Platform and applicable standards of conduct;
e. Where a Student becomes involved in a dispute, or where a complaint or concern arises that may be affected by a pre-existing relationship with an Instructor (including but not limited to familial, romantic, or financial connections), the Student agrees to promptly disclose such information to Instruct Me. This is to enable a fair, impartial, and safe resolution process.
9.3 Scope of Professional Conduct Your professional conduct includes, but is not limited to:
9.3.1 Communication with Instructors You are expected to communicate respectfully and clearly with your Instructors, honour lesson times, provide timely notice of cancellations, and address any concerns in a courteous manner. You should communicate with your Instructor via the Platform wherever possible.
9.3.2 Communication with Third Parties
You must conduct yourself in a respectful, non-disruptive, and courteous manner when interacting with any partners, affiliates, or third parties associated with the Platform, including but not limited to support staff, examiners, and customer service personnel.
9.3.3 Communication with Instruct Me Team All interactions with the Instruct Me support team should be respectful and constructive, whether you are seeking help, providing feedback, or making inquiries.
9.4 Consequences of Inappropriate Conduct
Breaches of these professional standards may lead to suspension or termination of your account at the sole discretion of Instruct Me. Serious violations may also be reported to relevant authorities where applicable.
10. Accuracy of User Information and Limitation of Liability
10.1 User Responsibility
As a Student or user of the Platform, you are responsible for ensuring that all information you provide such as your personal details, contact information, and any other content is accurate, complete, and up to date. It is important that the information you submit is truthful and reflects your current situation and eligibility to use the Platform’s services.
10.2 Verification of Accuracy
The Platform relies on the information you provide to deliver its services effectively. You acknowledge that the accuracy and completeness of your information are essential to the proper functioning of the Platform. Any inaccuracies or omissions may affect the quality of services available to you and others.
10.3 No Liability for User-Supplied Information
Instruct Me shall not be held liable for any inaccuracies, errors, or consequences resulting from the information you provide. You agree that the Platform does not verify the accuracy of your data and strongly encourages you to review and update your information regularly.
10.4 Exceptions to Liability
Nothing in this agreement excludes the liability of Instruct Me, to the fullest extent in law for: a. Death or personal injury caused by Instruct Me’s negligence; or b. Fraud or fraudulent misrepresentation.
10.5 Limitation of Liability
Instruct Me shall not be liable, whether in tort (including negligence), contract, or otherwise, for any: a. Loss of profits b. Loss of business c. Depletion of goodwill d. Similar losses e. Loss or corruption of data or information f. Pure economic loss
g. Or any other forms of consequential loss
While Instruct Me facilitates lesson bookings, it does not provide driving instruction services and does not assume liability for the acts or omissions of Instructors.
Instruct Me’s total aggregate liability for any claims arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you to Instruct Me in the three months preceding the event giving rise to the liability. Instruct Me shall not be liable for indirect, incidental, punitive, or consequential damages.
10.6 Licence Documentation Disclaimer
Instruct Me facilitates the upload or transmission of licence documentation solely as a technical intermediary and does not verify, validate, approve, or guarantee such documentation. Responsibility for compliance with all legal driving eligibility requirements rests solely with you and the Instructor.
Nothing in these Terms shall exclude or limit any rights you have as a consumer under applicable UK law.
11. Reviews and Feedback
You may submit reviews and ratings for Instructors after lessons. Reviews must be truthful, respectful, and comply with our content guidelines. We reserve the right to remove, edit, or reject any reviews or feedback at our sole discretion.
12. Force Majeure Events
12.1 Limitation of Liability Due to Force Majeure
Instruct Me shall not be liable or deemed in breach of these Terms and Conditions for any failure or delay in performing its obligations caused by events beyond its reasonable control ("Force Majeure Events"). Such events include, but are not limited to:
a. Strikes, lock-outs, or other industrial disputes; b. Civil commotion, riots, invasions, terrorist attacks, wars, or government action; c. Natural disasters such as fires, explosions, storms, floods, earthquakes, epidemics (including pandemics), or other catastrophic events; d. Inability to use transport or telecommunications systems; or actions, laws, regulations, or restrictions imposed by governmental authorities.
In the event of a Force Majeure Event, Instruct Me may suspend or delay the performance of its obligations for the duration of the event and a reasonable recovery period without liability.
13. Disputes & Support
13.1 Raising a Dispute You must notify Instruct Me Support of any issues related to a lesson (e.g., no- shows, misunderstandings, safety concerns) within 24 hours of the scheduled lesson time.
To raise a dispute, you should provide, where available, the following information:
- Booking reference
- Lesson date/time
- A detailed description of the issue, and any steps already taken to resolve it
Failure to report within this timeframe may limit the remedies available to you.
13.2 Dispute Handling Instruct Me may:
- Contact both parties for clarification
- Offer mediation or resolution options
- Provide refunds, credits, or rescheduling, at our sole discretion
- Take disciplinary action, including warnings, suspensions, or account termination, for breaches of Terms
Whilst Instruct Me will act reasonably in handling disputes, we do not guarantee specific outcomes.
14. Payment Processing
We use third-party payment providers including Stripe. By using the Platform, you agree to the terms and policies of those providers that are displayed at the time of payment. Instruct Me is not liable for any payment errors, failures, data breaches, unauthorised charges, or losses caused by third-party providers such as Stripe. All payment-related issues should also be raised with the respective payment provider. However, we encourage users to report any irregularities to us so we may assist where possible.
15. Service Interruptions
15.1. Downtime The Platform provider strives for uninterrupted service but may experience downtime due to maintenance or unforeseen technical issues. Users acknowledge and accept that Instruct Me is not liable for any losses, damages, inconveniences, or disruptions resulting from such service interruptions.
15.2. Third-Party Downtime Instruct Me is not responsible for any service interruptions caused by third-party providers or external factors beyond our direct control.
15.3. Platform Compatibility and System Updates Instruct Me is committed to maintaining the compatibility and functionality of the Platform. Users are encouraged to keep their web browsers and devices up to date to ensure optimal performance and security. Instruct Me is not liable for issues caused by user failure to update their systems.
15.4 Platform Features and Communications
Instruct Me may make available various communication and functionality features within the Platform, including but not limited to in-Platform messaging, voice calling, and integrations with third-party service providers. Such features may be modified, withdrawn, or restricted at any time.
Instruct Me shall not be liable for any loss, interruption, data issue, or dispute arising from the use or unavailability of such features.
Where in-Platform voice calling functionality is made available, such calls may be facilitated, monitored, or processed through third-party communication service providers integrated with the Platform.
Calls may be monitored and/or reviewed by Instruct Me for purposes including, but not limited to, safety, fraud prevention, quality assurance, and dispute resolution.
By using such functionality, you acknowledge and agree to such monitoring and processing to the extent permitted by applicable data protection laws. Further information on how such data is handled is set out in our Privacy Policy.
16. Intellectual Property
You retain the rights to any content you provide through the Platform (such as profile information or feedback), but you grant Us a perpetual, royalty-free, worldwide licence to use, and display, and distribute such content to operate on the Platform.
All other content on the Platform, including but not limited to the website design, software, and materials, is owned or licensed by Instruct Me.
17. Data Sharing Within Our Group - CAPSIL LIMITED
- INSTRUCT ME LIMITED is a wholly owned subsidiary, connecting learner drivers with driving Instructors.
- STAR GENIE LTD trading as PASSMEFAST is a wholly owned subsidiary, providing driving courses to learner drivers.
- ADI NETWORK LIMITED is a wholly owned subsidiary, connecting learner drivers with driving Instructors.
For administrative purposes, platform operations, customer support, regulatory compliance, fraud prevention, and service improvement, we may share your personal data (including but not limited to your name, contact info, qualifications, job preferences, and availability) with other group companies. This helps us:
- Match Instructors with Students more effectively.
- Coordinate lesson bookings and communication.
- Ensure accurate payment and scheduling.
- Improve service performance and compliance.
We may also share your data with future companies or brands that become part of our group, provided they operate in a way that aligns with the purposes described above and comply with applicable data protection laws.
Although each company in our group is a separate data controller, we operate under a unified approach to data protection and confidentiality.
By registering with INSTRUCT ME LIMITED, you acknowledge that your information may be shared with other companies within the CAPSIL LIMITED group where necessary for the provision of services, in accordance with our [Privacy Policy].
18. Data Security
18.1. User Responsibility for Data Security While the Platform provider implements reasonable and industry-standard security measures to protect user data, users are responsible for maintaining the security of their account credentials and devices. Instruct Me implements reasonable security measures but is not liable for breaches resulting from your negligence.
18.2. Unauthorised Access and Data Breaches Instruct Me cannot be held liable for unauthorised access or data breaches resulting from user negligence, such as sharing login details or failing to secure a device. Users are encouraged to follow best practices, such as regularly updating passwords and using device security features.
18.3. Reporting Data Incidents In the event that personal data is lost or stolen, users must notify Instruct Me without undue delay and provide sufficient details to support any required reporting under applicable Data Protection Laws. Users must also cooperate fully with Instruct Me during any investigation or remediation process.
18.4. Permitted Use of Personal Data You must only use personal data provided by Instruct Me for the specific purpose it was provided; namely, to arrange and deliver driving tuition.
18.5. Prohibited Use of Personal Data You must not use personal data provided by Instruct Me for any other purpose, such as selling the data to third parties or using it to market unrelated services.
18.6 Data Protection and Roles of the Parties
For the purposes of applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018:
- Instruct Me is an independent Data Controller in respect of the personal data it collects and processes to operate and manage the online marketplace, including facilitating connections between learners and Approved Driving Instructors (ADIs).
- Each ADI using the platform is also an independent Data Controller in respect of the personal data they receive and process from learners. ADIs determine their own purposes and means of processing, such as scheduling lessons, managing communications, and maintaining training records.
There is no joint controllership or processor relationship between Instruct Me and any ADI. Each party is individually responsible for complying with its own obligations under applicable data protection laws.
For the avoidance of doubt, Instruct Me does not accept any responsibility or liability for the independent data processing activities of Instructors or Students, each of whom acts as a separate and independent data controller under applicable data protection laws.
18.7. Location of Data Processing User data is primarily processed within the United Kingdom and the European Union, in accordance with their data protection laws. If any processing occurs outside these jurisdictions, it is covered by appropriate safeguards, such as adequacy decisions, Standard Contractual Clauses, and technical protections.
18.8. Continuous Vigilance Users are encouraged to remain alert and proactive in protecting their own data. We recommend reviewing the Instruct Me [Privacy Policy] periodically to stay informed about current data practices.
19. Termination
You may deactivate your account at any time. We reserve the right to suspend or terminate accounts if:
- Frequently cancel or miss lessons without proper notice,
- Engage in behaviour that breaches these Terms or disrupts the community,
- Violate any of our policies or agreements.
Or, when acting reasonably, we reasonably determine that it is not appropriate for you to continue using the Platform for you to hold an active account on the Platform.
Any outstanding obligations or booked lessons must be fulfilled or properly cancelled prior to account closure.
20. Indemnification
You agree to indemnify, defend, and hold harmless Instruct Me, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with:
(a) your breach of these Terms;
(b) your misuse of the Platform; or
(c) your violation of any applicable law or third-party rights.
21. Instructor Licensing, Insurance & Lesson Eligibility
21.1 Instructor Licensing All Instructors using the Platform must hold a valid DVSA Approved Driving Instructor (ADI) registration where required by law.
Instruct Me may display the current status of an Instructor’s DVSA registration based on the information available to the Platform.
If an Instructor’s DVSA registration expires or is temporarily inactive, the Platform may display a warning to Students at the time of booking. Students may still choose to proceed with the booking where permitted by law.
21.2 Instructor Insurance Driving lessons may only be delivered where the Instructor holds valid motor insurance suitable for paid driving instruction.
Where the Platform becomes aware that an Instructor’s insurance has expired or is no longer valid:
(a) Students will not be able to book new Lessons with that Instructor; and
(b) the Platform may notify affected Students.
21.3 Existing Bookings Where Insurance Expires Where an Instructor’s insurance expires after a Lesson has been scheduled:
(a) the Lesson may remain scheduled until 17:00 (5pm) on the day prior to the Lesson;
(b) if valid insurance documentation has not been updated on the Platform by that time, the Lesson may be cancelled by the Platform.
Where such cancellation occurs due to Instructor insurance issues:
- the Student will receive their Lesson credit back;
- the Platform cancellation policy shall not apply.
Instruct Me shall not be liable for any additional costs, losses, or inconvenience arising from such cancellation beyond the return of the relevant Lesson credit.
21.4 Student Responsibility Students acknowledge that the Instructor remains solely responsible for maintaining all legal requirements necessary to deliver driving instruction, including insurance, licensing and regulatory compliance.
22. Disclaimer of Warranties To the fullest extent permitted by law, the Platform and its services are provided “as is” and “as available,” without warranties of any kind, either express or implied. We make no warranties, guarantees, or representations regarding the availability, quality, suitability, or outcomes of lessons provided by Instructors. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
23. No Circumvention You agree not to solicit, contact, or engage with any Instructor you connected with through the Platform outside of the Platform for purposes of arranging driving lessons or similar services. Any attempt to circumvent the Platform may result in account suspension and possible legal action.
24. Monitoring and Enforcement We reserve the right to monitor activity on the Platform to ensure compliance with these Terms. We may remove, suspend, or restrict access to any content or user account for any reason, including conduct we determine to be abusive, deceptive, or harmful.
25. Independent Contractor Status All Instructors on the Platform are independent contractors and not employees, agents, or representatives of Instruct Me. We do not control or supervise Instructors. By using the Platform, you acknowledge that Instruct Me is not liable for any acts, omissions, or representations made by Instructors.
